General Terms
These Terms of Sale (“Terms of Sale”) together with Chajia Co.’s Terms of Use, available at: https://www.chajiaco.com/terms-of-use (“Terms of Use”) and any Supplemental Terms shall govern your purchase, or sale (as applicable), of products, tea club memberships, and other services made available by Chajia Co., Inc. and its affiliates (collectively “Chajia Co.”, “Company”, “we” and “us”). Capitalized terms used in these Terms of Sale, but not otherwise defined herein, will have the meaning given to them in the Terms of Use.
By: (i) submitting an order to purchase any products, memberships, subscriptions or other services through the applicable checkout process on the Chajia Co. Properties (“Order”), you agree to be bound by these Terms of Sale as a buyer (any such person, a “Buyer”), or (ii) listing, offering, advertising, or selling any products via the Chajia Co. Properties, you agree to be bound by these Terms of Sale as a merchant (such a person or entity, a “Merchant”).
PLEASE NOTE THAT THESE TERMS OF SALE ARE SUBJECT TO CHANGE BY CHAJIA CO. IN ITS SOLE DISCRETION AT ANY TIME UPON TEN (10) DAYS PRIOR NOTICE.
When changes are made, Chajia Co. will make a new copy of the Terms of Sale available at the Website and within the Application. We will also update the “Last Updated” date at the top of the Terms of Sale. Chajia Co. may require you to provide consent to the updated Terms of Sale in a specified manner before further use of the Chajia Co. Properties to purchase, advertise, or sell any products, memberships, subscriptions, or services. If you do not agree to any change(s) after being notified of such change(s), you shall contact Chajia Co. within seven (7) days of such notification. If you do not agree to such change(s), you may not use the Chajia Co. Properties to purchase, advertise, or sell any products, memberships, subscriptions, or services. PLEASE REGULARLY CHECK THE CHAJIA CO. PROPERTIES TO VIEW THE THEN-CURRENT TERMS OF SALE.
1. How Chajia Co. Properties Order Requests Work
- Applicability; Chajia Co. May Be An Intermediary. Chajia Co. has partnered with various third-party Merchants who are licensed, if required by applicable law, to sell alcohol through the Chajia Co. Properties. These Terms of Sale govern the purchase and sale of alcoholic products (“Merchant Products”) between Merchants and Buyers with the aid of the Chajia Co. Properties. In most countries, including the United States, Chajia Co. is merely an intermediary that processes Orders on behalf of Merchants and does not package, ship, sell, or otherwise fulfil Orders. The applicable Merchant(s) fulfilling any Order will be identified during the checkout process. The Merchant(s) identified is solely responsible for the sale and fulfilment of alcoholic beverages purchased by you via the Chajia Co. Properties. Each Merchant is responsible for compliance with all applicable laws and regulations. In some jurisdictions, Chajia Co. may directly fulfil the Order from Chajia Co.-owned inventory. In those cases, Chajia Co. will be identified as the party responsible for the sale and fulfilment of such Orders and will be responsible for compliance with all applicable laws and regulations.
- Order Acceptance. The submission of any Order via the Chajia Co. Properties does not create a contract between a Buyer, Chajia Co., or any Merchant(s), and no Merchant will have any obligation to fulfil any Order, until such Merchant has confirmed/accepted the Buyer’s Order. If accepted, your credit card or other payment method (“Payment Method”) will be processed, and the Merchant will ship your Order per these Terms of Sale.
2. Product Descriptions
Descriptions, images, references, features, content, specifications, price, and availability of any teas, varietals, harvests, and other products are subject to change without notice, and the current prices can be found on the Chajia Co. Properties. We make reasonable efforts to accurately display the attributes of the products listed/featured on the Chajia Co. Properties; however, teas, palates, taste, smell, aromas, and written descriptions of the foregoing can be very subjective. The inclusion of any products on any Chajia Co. Properties at a particular time does not imply or warrant that these products will be available at any other time. We reserve the right, with or without prior notice, to limit the available quantity of, or discontinue, any product; to honour, or impose conditions on the honouring of, any coupon, coupon code, promotional code, or other similar promotions; to bar any user from making any or all purchase(s); and/or to refuse to provide any user with any product or service.
3. Cancellation of, and Updates to, Your Order Request
Chajia Co. will use commercially reasonable efforts to cancel any Order for which a cancellation request made by a Buyer is received within twenty-four (24) hours of the Order. Please note that Orders may not be cancelled or updated by Buyers, even if the cancellation request was submitted within twenty-four (24) hours of the Order if the Merchant(s) has either: (1) accepted the Order, or (2) shipped the applicable Merchant Products. If a Buyer wishes to cancel an Order or update the information pertaining to their Order (other than Chajia Co. Tea Club orders as described below), the Buyer must notify Chajia Co. within twenty-four (24) hours of submitting their Order request by contacting Chajia Co. Support at https://www.chajiaco.com/contact-us to submit your request via our "Contact Us" option. Cancellation and/or Order update requests received by Chajia Co. on Saturday and Sunday may not be processed until the following business day.
4. Payment
Payment will be processed utilising the Payment Method you provide, upon the earlier of the acceptance of your Order request by the Merchant or six (6) calendar days after the date of your Order request. Chajia Co. shall collect applicable Sales Tax and other applicable taxes in addition to the payments required to be made by Buyer hereunder. For the purposes of this section, “Sales Tax” means any sales or use tax, VAT, GST, or similar tax, and any other tax measured by sales proceeds that is the functional equivalent of sales tax where the applicable taxing jurisdiction does not otherwise impose a sales or use tax. Your credit card statement will state the name of the Merchant responsible for the sale and fulfilment of items to you.
By entering credit card payment information, you represent and warrant that you have the legal right to use any credit card(s) utilised in connection with any transaction initiated through the Chajia Co. Properties. Chajia Co. reserves the right to take legal action against persons attempting to fraudulently utilise credit card payment information.
5. Shipping
- If a Buyer’s Order request is accepted by a Merchant, the Merchant will, and agrees to, ship the Buyer’s Order to the shipping address provided by the Buyer. Where possible, Chajia Co. recommends providing a business or commercial address for the shipping address. Please ensure all shipping information is correct. Once the Merchant has accepted the Buyer’s Order request, changes to the shipping information may not be possible, and, if possible, additional fees or penalties may apply. Additionally, if the package cannot be delivered to the shipping address provided, additional fees or penalties may apply.
- Weather Impacts on Shipping.Merchants may delay the shipment of a Buyer’s Order for extreme weather conditions (i.e., hot or cold temperatures that could damage the Buyer’s Order). In such circumstances, the Merchant will, and agrees to, promptly inform Chajia Co. of the weather hold request, and Chajia Co. will contact the Buyer to confirm whether the Buyer would like to wait for their shipment or cancel it. Some Merchants may offer the option of purchasing cool packs or expediting shipping for an additional cost. The inclusion of cool packs DOES NOT guarantee that the tea will arrive unspoiled. Buyers are encouraged to use the weather reports in their area as a guide when making a purchase and to try to purchase when the weather forecast predicts more mild temperatures.
- Multiple Delivery Attempts.Certain jurisdictions may require Buyers to be physically present in order to take delivery of Merchant Products. In the event a carrier attempts to, and fails to, deliver Merchant Products to a Buyer on one or more separate occasions, the Merchant Products may be returned to the Merchant or temporarily held at a pickup location before being returned to the Merchant.
6. Substitutions
On occasion it may be necessary to substitute a similar Merchant Product due to a Merchant’s inventory deficiency. Substituted teas may be a different harvest year or from a different estate, but they will always be of equal or better value and rating and the same type and region to the Merchant Product you originally selected. 7. Refunds & Returns
Chajia Co. takes pride in making some of the best teas available to our customers. If you are not completely satisfied with the teas you received, please promptly contact Chajia Co. Support [https://www.chajiaco.com/contact-us] so we can best assist you. Please provide your Order number and explain the reason for your dissatisfaction. We will review the specific circumstances on an individual basis.
To the extent allowed by applicable law, you may be required to return the Merchant Products and may be subject to a return shipping charge.
In the event you receive an incorrect tea or your tea is damaged when received, you may be eligible for a credit, refund, or replacement. To be eligible for a credit, refund, or replacement for damaged or incorrect tea received, you must promptly contact Chajia Co. Support [https://www.chajiaco.com/contact-us] with your request and a description. Chajia Co. may, on behalf of the Merchant, require you to provide pictures or other evidence of the damaged or incorrect products and may require you to return the damaged or incorrect products in their original packaging. Requests for a credit, refund, or replacement may be rejected if it cannot be verified that the product is damaged or incorrect.
